Legal Notice.
This Legal Notice governs all access to and use of materials published across the QIS Ecosystem. It is the operative text. The Data License page explains the same terms in plain language and is the better place to start; where the two differ, this page controls.
1. Owner, definitions and scope
The QIS Ecosystem, including but not limited to qisfund.com, qisagent.com, qistrust.com, their subdomains, affiliates, successors and assigns (collectively, “QIS”), owns and operates the platform described in this Notice. QIS publishes information, frameworks and technical artifacts relating to the governance of autonomous financial systems, agentic AI and quantitative investment strategies.
“Materials” means all content made available by QIS in any form, including:
- All web pages, documents, markdown representations and downloads hosted on the domains above.
- All structured data, APIs, JSON-LD graphs, MCP server cards, agent skill definitions and DNS-AID records published by QIS.
- All frameworks, instruments, taxonomies, registers and curated analyses identified in section 2.
By accessing or using the Materials in any form — including by automated means — you acknowledge and agree to the terms below.
2. Intellectual property and ownership
2.1 Ownership
QIS, together with its licensors, owns and controls all copyright and other intellectual property rights in the Materials. Protection attaches automatically upon creation and fixation; registration, where undertaken, is in addition to and not a condition of those rights.
The Materials are protected by United States and international copyright law. Where the jurisdiction recognizes them, QIS additionally asserts database rights in its compilations, including the sui generis database right under Directive 96/9/EC and its national implementations.
2.2 Protected frameworks and instruments
The following are expressly designated as protected works and compilations. Each represents original selection, arrangement and expression, and none is freely reproducible or repackageable:
- The QIS Canon — its entity model, canonical identifiers, negative definitions, canonical extensions and lexicon entries.
- The MARQUE framework — its eight questions, their formulation, the conformance definition, and the control-objective crosswalks.
- The KYA (Know Your Agent) instrument — its twelve dimensions, five-level evidence ladder, question set, named artifacts, examiner formulations, scoring bands and output schedule design.
- The registers — strategy taxonomies, standards register, the QIS Atlas, the Agent Stack, partner register, verification register and concept layer, together with their curated relationships and typed edges.
- The technical artifacts — JSON-LD schemas, structured data graphs, the relationship vocabulary, API specifications, MCP server cards, DNS-AID records, verification register rules and build-gate designs.
- The editorial analysis — including jurisdictional divergence mapping, commentary on supervisory instruments, scoring rationales and caveats.
You are welcome to discuss, critique, cite and disagree with these frameworks. You may not copy, reimplement or market them as your own governance, rating, diligence or compliance product without a written license from QIS.
2.3 Trademarks
MARQUE, KYA, Know Your Agent, QIS Ecosystem and associated names and logos are marks of QIS. Nothing in this Notice or in any license granted under it conveys any right to use those marks. In particular, no person may describe a product, service, assessment or system as MARQUE-conformant, KYA-assessed, KYA-certified or any confusingly similar formulation without express written permission.
2.4 Reservation of rights
All rights not expressly granted are reserved. No license is granted by implication, estoppel, exhaustion or otherwise. Failure by QIS to enforce any provision is not a waiver of that provision or of any other.
3. License tiers and permitted use
3.1 Open use — reading, citation, teaching
Subject to the restrictions below, QIS grants a limited, non-exclusive, non-transferable, revocable license to:
- Read and browse any page or document.
- Quote and cite the Materials in academic, journalistic, professional or general public writing, with attribution to QIS and to the specific canonical URL.
- Link to QIS pages from websites, documents, communications and dashboards.
- Permit search engines and answer engines to index the Materials and surface excerpts or citations, provided their outputs do not substantially reproduce or substitute for the Materials.
- Use the Materials in teaching and internal training in a non-commercial context, provided QIS frameworks are not repackaged as a competing product.
These uses require no separate permission and no registration.
3.2 Academic and non-commercial AI research
Academic and non-profit research organizations may conduct text-and-data mining and model training on the Materials solely for non-commercial research and teaching, provided that:
- Outputs do not substantially recreate QIS frameworks, instruments or corpus;
- The Materials are not used to build, train or market any governance, rating, compliance or diligence tool that competes with QIS; and
- Reasonable safeguards prevent unauthorized redistribution of the underlying corpus.
The test is whether the output is commercialized, not who employs the researcher. Research conducted within an academic institution but funded by, or resulting in a product for, a commercial sponsor falls under section 3.3. Where the position is unclear, contact QIS before proceeding; we would rather clarify in advance than dispute afterward.
3.3 Licensed use — absorption and commercial use
Absorption is where QIS stops being something you read and becomes part of what you sell or operate. Any use in which the Materials are embedded into, or materially determine the functioning of, another product, service, dataset or model requires a separate written license.
Absorption includes, without limitation:
- Training, fine-tuning, aligning or evaluating commercial AI models on the corpus, where the Materials materially shape the behavior or outputs of a system that is sold, licensed or deployed in production.
- Implementing QIS frameworks — the Canon, MARQUE, KYA, the crosswalks, registers, schemas or build-gate designs — inside governance, rating, compliance or diligence tools that are sold, licensed or deployed.
- Mirroring QIS graph structures, vocabularies, registers, schemas or APIs inside dashboards, terminals, platforms or data products marketed as reference, governance or risk systems.
- Bulk downloading, systematic scraping, or redistributing the Materials as a corpus or dataset, whether free or paid.

4. Prohibited uses
Except as expressly permitted by law, by this Notice, or by written agreement with QIS, you must not:
- Copy, reproduce, publish, distribute or transmit any substantial part of the corpus, the Canon, MARQUE, KYA or other protected Materials.
- Create derivative works, frameworks, instruments or modules marketed as governance, rating or diligence products based on the Materials.
- Use the Materials to train, fine-tune or evaluate commercial AI systems except under a QIS license.
- Remove, obscure, alter or fail to preserve any copyright notice, attribution marker, canonical URL, license term or embedded
api_metadatablock, in any reproduction or redistribution of the Materials in any format. - Circumvent, disable or interfere with rate limiting or other technical measures applied to bulk access.
- Use the Materials in any manner that violates applicable law or infringes the rights of any third party.
QIS reserves the right to take enforcement action and to seek all available remedies for unauthorized or infringing use.
5. No professional advice; no relationship
The QIS Ecosystem is an information resource. It does not provide professional advice.
- Nothing published by QIS constitutes legal, financial, investment, tax, accounting or regulatory advice.
- You must not rely on the Materials as a substitute for advice from qualified professionals familiar with your specific circumstances and jurisdiction.
- Viewing the Materials, completing a KYA assessment, downloading any document, or contacting QIS does not create an attorney–client, advisor–client, fiduciary or other professional relationship.
- Any sample clauses, frameworks, instruments or templates are illustrative only. They must be independently adapted and validated. QIS does not warrant their suitability, sufficiency or compliance with any legal or regulatory requirement.
- The KYA instrument is a self-assessment. It is not a certification, an audit, an attestation, or a determination of compliance. No person is accredited to assess KYA conformance, and any claim of KYA certification is unauthorized.
6. Accuracy, completeness and changes
QIS maintains a public verification register recording every dated assertion with its primary source and review date, and its build process fails on any claim past review. That discipline is real, and it is not a warranty.
- QIS makes no representation or warranty as to the completeness, accuracy, currency or fitness for any purpose of the Materials.
- Regulatory instruments and supervisory expectations change and are applied differently depending on the facts. The Materials may not reflect the most recent developments.
- QIS may update, correct, expand, restrict or withdraw any Materials at any time without notice.
- QIS may modify this Notice at any time. The version and effective date above govern. Continued use following a change constitutes acceptance.
Your use of the QIS Ecosystem is at your own risk.
7. Disclaimer of warranties and limitation of liability
To the maximum extent permitted by applicable law, the Materials are provided “as is” and “as available”, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement.
- QIS will not be liable for any loss or damage arising out of or in connection with your use of, or inability to use, the QIS Ecosystem or any Materials — including indirect, incidental, special, consequential, exemplary or business losses such as lost profits, revenue, contracts, data or goodwill — whether in contract, tort, negligence or otherwise, and whether or not QIS was advised of the possibility.
- Where Materials are provided free of charge, QIS will not be liable for any loss or damage of any nature.
- Nothing in this Notice limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be limited or excluded.

9. Governing law and jurisdiction
This Notice, and any dispute or claim arising out of or in connection with it, the QIS Ecosystem or the Materials, including non-contractual disputes, is governed by the laws of the State of California, United States, without regard to conflict-of-law principles.
You agree that the state and federal courts located in California will have exclusive jurisdiction over any such dispute, subject to any mandatory provisions of applicable law that cannot be excluded.
If any provision of this Notice is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will continue in full force.

If you believe material on the QIS Ecosystem infringes your copyright, send a written notice to the address above including:
- Your name, address, telephone number and email address.
- Identification of the copyrighted work claimed to have been infringed.
- Identification of the material claimed to be infringing and its precise location, sufficient to permit QIS to locate it.
- A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent or the law.
- A statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
- Your physical or electronic signature.
QIS will review and respond in accordance with applicable law.
